Kingston Terms and Conditions of Sale

1 Definitions

In these Terms, “Kingston” means Kingston Branding Ltd. “Buyer” means the party purchasing the Products. “Products” means the goods supplied by Kingston to the Buyer.

2 Retention of Title

Title to all Products remains with Kingston until Kingston has received payment in full and cleared funds.

3 Payment Terms

3.1 First Order – The Buyer’s first order placed within 30 days of account opening is supplied on a pro‑forma basis.

3.2 Standard Terms – All subsequent invoices are payable within 30 days of the invoice date.

3.3 Late Payment – Kingston may charge interest on overdue sums at the statutory rate (or, if greater, 4 % p.a. above the Bank of England base rate) together with any reasonable debt‑recovery costs.

4 Orders & Acceptance

All orders are subject to written acceptance by Kingston. Kingston may accept or decline any order in whole or in part.

5 Delivery

5.1 Estimates – Delivery dates quoted are estimates only.

5.2 Delay – Kingston is not liable for any loss or damage resulting from delay.

5.3 Risk – Risk in the Products passes to the Buyer on delivery.

6 Warranty

Kingston warrants that the Products will be free from material defects in workmanship and materials under normal use for twelve (12) months from the date of delivery. This warranty does not cover fair wear and tear, misuse, or modification by the Buyer.

7 Returns & Refunds

7.1 Notification – The Buyer must notify Kingston of any intention to return Products within 14 days of delivery.

7.2 Condition – Products must be returned in their original condition and packaging, carriage paid, within 30 days of Kingston’s authorisation.

7.3 Remedy – Kingston will, at its discretion, repair, replace, or refund the Products after inspection.

8 Limitation of Liability

Kingston’s total liability arising out of or in connection with the Products, whether in contract, tort (including negligence), or otherwise, is limited to the price paid for the affected Products or their replacement. Kingston is not liable for any indirect or consequential loss.

9 Force Majeure

Kingston is not liable for any failure or delay in performing its obligations where such failure or delay results from events beyond its reasonable control, including but not limited to natural disasters, acts of government, or industrial actions.

10 Confidentiality

Each party shall keep confidential and not disclose to any third party any proprietary or confidential information received from the other in connection with the sale unless required by law.

11 Amendments

Kingston may amend these Terms at any time by giving the Buyer notice in writing or by publishing the amended Terms on its website. Orders placed after the effective date of the amendment will be governed by the revised Terms.

12 Acceptance

Placement of an order constitutes the Buyer’s unconditional acceptance of these Terms.
