Kingston Terms and Conditions of Sale

1. Introduction

   • These terms and conditions govern the sale of products ("Products") by Kingston to the purchasing company ("Buyer").

2. Ownership of Products

   • All Products supplied by Kingston remain the property of Kingston until full payment is received.

3. Payment Terms

   • Payment for Products is due within 30 days from the date of the invoice.
   • Late payments may incur additional charges or interest at a rate to be determined by Kingston.

4. Order and Acceptance

   • All orders are subject to acceptance by Kingston. Kingston reserves the right to accept or reject any order.

5. Delivery and Shipping

   • Delivery dates are estimates and are not guaranteed.
   • Kingston is not liable for any delays in delivery.

6. Product Warranty

   • Kingston warrants that Products will be free from material defects under normal use.
   • This warranty is limited to a specified period from the date of purchase.

7. Returns and Refunds

   • Returns of Products must be made within a specified period and in accordance with Kingston's return policy.
   • Refunds or replacements are subject to Kingston's discretion upon receipt and inspection of returned Products.

8. Limitation of Liability

   • Kingston's liability for any claim related to the Products is limited to the replacement of the Products or refund of the purchase price.

9. Force Majeure

   • Kingston is not liable for failure to perform its obligations due to circumstances beyond its reasonable control (e.g., natural disasters, government regulations, etc.).

10. Confidentiality

    • Both parties agree to keep confidential any proprietary information received during the course of the transaction.

11. Amendments

    • Kingston reserves the right to amend these terms and conditions at any time.

12. Acceptance

    • By placing an order, the Buyer agrees to be bound by these terms and conditions.
